Executive Compensation and Employee Benefits Attorney, Palo Alto, CA. Provide legal svcs on all matters rltd to executive compensation & employee benefits in connection w/ mergers, acquisitions, sales, divestures, consortium investments, joint ventures, minority investments, initial public offerings, SPACs, & reorganizations for public & private companies, private equity sponsors & fin'l advisors, incl cross-border transactions. Reqs Juris Doctor or Master of Laws deg, or foreign equiv. Must have 4 yrs of dedicated exp in executive compensation & employee benefits practice, incl (i) advising private equity firms & public companies on tax law issues (409A, 280G, 83(b), 162(m)), securities law issues (Rule 701, 10b5-1, blue sky) & ERISA issues; (ii) negotiating & drafting incentive equity plans & award agreements for both private & public companies (profits interests, options, restricted stock units & phantom equities); (iii) negotiating & drafting employment agreements & separation agreements; (iv) prep'g compensation-rltd disclosure for public companies, incl proxy stmt (CD&A, pay-for-performance tables, director compensation tables, CEO pay ratio), Form S-8 registrations, & 10-K/10-Q disclosures; & (v) researching & analyzing complex compensation & benefits regs, incl IRS notices, SEC interpretive guidance, DOL rules, & case law affecting executive pay. Must be licensed to practice law in California. Domestic travel (approx. 5%) to attend client meetings & events. $305,000 - $315,000.
