Attorney - Private Investment Funds, NY, NY. Provide advisory legal svcs in connection w/ investment mgmt matters. Reqs Juris Doctor or Master of Laws deg, or foreign equiv. Must have 3 yrs of exp representing private equity sponsors in connection w/ formation of private funds, fundraising, ongoing operational matters & regulatory compliance matters, or formation of credit facilities in connection w/ buyout deals. Exp must incl: advising asset mgrs w/ respect to matters under the Investment Advisers Act of 1940, seed investments, upper-tier arrangements, & secondary transactions, as well as representing institutional investors in legal review of fund docs in connection w/ their private equity investments; assisting general partner in transactions involve transfer of limited partner's interests, incl but not limited to, negotiating tri-party assignment & assumption agreement; & assisting private equity sponsors/asset mgrs w/ structuring the carry structure & providing advice rltd to employee carry structure (incl but not limited to preparing redemption & contribution agreements rltd thereto).
